Brian has a broad and varied business law practice. He represents clients in a range of industries including energy and technology and, as a member of Foglers’ Corporate Group, regularly advises on mergers and acquisitions, debt and equity financings, and other business transactions.

In addition, Brian advises clients on a variety of corporate matters including structuring, governance and statutory compliance, shareholder and director meetings, directors’ liability, and a number of business ownership matters including shareholder and partnership structures and agreements, succession planning, and creditor-proofing. Brian is also actively involved in the entrepreneurial communities of Toronto and Ottawa. He helps entrepreneurs and start-up companies establish and grow their businesses by providing advice on business structuring, fundamental start-up contracts, shareholders’ agreements, intellectual property and rounds of financing.

As a member of Foglers’ Indigenous Practice Group, Brian acts for Indigenous Communities on a variety of business matters including the formation and governance of economic development groups, impact benefit agreements, acquisition and financing transactions, and the negotiation of joint ventures, partnerships, and other commercial arrangements for a broad range of private and public sector projects.

Jen is a partner in the Capital Markets and Securities group. Jen acts for both companies and registered dealers in a broad range of industries, and has extensive expertise working with junior issuers listed on the TSX Venture Exchange and Canadian Securities Exchange.

In over 20 years of practice, she has been involved in numerous significant financings (public offerings and private placements) and complex commercial agreements for clients in the natural resource, cannabis and sports sectors. Jen also provides strategic advice on matters related to corporate governance, mergers and acquisitions and reorganizations, and has assisted clients in navigating many challenging financial and regulatory environments. She currently sits on the TSX Venture Exchange’s Ontario Advisory Committee which provides advice and recommendations to the Exchange on all policy, operational and strategic issues that are likely to have a significant impact on the public venture capital market and the role of the Exchange. 

Jen has previously contributed as a legal commentator on CBC Metro Morning, and for the Globe and Mail and CBC Investigative Reports series. She is a professor at Brock University in sports law, as well as a frequent lecturer at Osgoode Hall Law School and the TSX Venture Exchange. She was recently appointed by the Ministry of the Attorney General as a part-time adjudicator on the Ontario Land Tribunal. Jen also previously served as an instructor in various continuing legal education topics, and as a director and treasurer of several non-profit organizations.

Bill’s practice focuses exclusively on Aboriginal and Indigenous law.

He began practicing in this specialty as in‐house lawyer for Grand Council Treaty #3, and was a member of the legal team which represented Ontario First Nations in the 1981 First Ministers Conference which resulted in the inclusion of s. 35 in the Constitution Act, 1982.  

Legislative drafting for Indigenous clients has remained one of the main bases of his law practice but he has also acted for First Nations in claims and other matters including, most recently, acting as legal counsel for Henvey Inlet First Nation in the creation of the environmental laws and land tenure system for Henvey Inlet First Nation’s 300 MW wind  energy centre, one of the largest Indigenous projects in Canada.  He advises First Nations in Ontario and in other provinces in relation to the legislative and executive functions of Indigenous governments, and is Past Chair of the OBA’s Aboriginal Law Section.

Tim is a vigorous and adaptable commercial litigator with particular expertise in Bankruptcy and Insolvency issues and Land Use Planning matters. 

In various capacities and acting for a wide range of clients, Tim has appeared before the Ontario Superior Court of Justice, the Divisional Court of Ontario, the Court of Appeal of Ontario, the Ontario Court of Justice, the Ontario Land Tribunal and various municipal committees.  Tim advises clients on both the debtor and creditor sides of proposals to creditors, bankruptcies, receiverships and restructurings.  Tim regularly acts on development applications and approvals and also certain permit prosecutions. In each and every case he touches, Tim conducts his practice with a consistent focus and vision: listen to the client; tailor the approach; execute on the plan.

When he is not practicing law, Tim is golfing. Ever since his first job scrubbing clubs and golf carts, Tim is at home on the links. He loves to compete and he loves to be outdoors. Tim is also a musician, snowboarder and avid reader of literature and criticism.

John is a Partner in our Business Law Department.

John’s practice involves an extensive range of corporate and commercial matters including mergers and acquisitions, business dispositions, business re-organizations, real estate and other types of joint ventures and the preparation of commercial documents such as stock option plans, shareholder agreements, partnership agreements, co-tenancy agreements and employment agreements.  John provides services for companies in a wide range of industries including property management, real estate brokerage and manufacturing.

Elliott has developed a reputation for expertise in securities law and for his ability to negotiate and complete complex and innovative transactions.

Elliott practices all aspects of corporate, commercial and securities law, with a focus on mergers and acquisitions and corporate finance. He represents a range of public and private companies in diverse industries, including real estate services, technology, investment brokerage & management, solar energy and mortgage investments. He has established various types of pooled and other investment funds and advised lead and significant investors. On an ongoing basis, Elliott advises a number of Canadian reporting issuers and investment funds in connection with securities and regulatory compliance and corporate governance matters.

Mary’s estates and trusts practice focuses on estate planning (including business succession, estate freezes, creation of trusts), and the preparation of wills, insurance directions and trusts, powers of attorney for property and powers of attorney for personal care, medical directives, and the administration of the estate of deceased persons.

Mary’s corporate/commercial practice is focused on business acquisitions and dispositions, business relationships (including executive employment agreements, partnership agreements, and shareholders’ agreements), business financing (secured transactions), corporate re-organizations (including tax related transactions) and general business and commercial agreements.

Her two areas of expertise allow her to provide her high net worth entrepreneurial client base with an integrated solution to their business and personal planning issues.

Mary is also active in the legal community. She is a past instructor in Estate Planning at the Bar Admission Course, Law Society of Ontario, and is former Chair of the Statutory Review Committee, Executive of the Ontario Bar Association. In her latter role, Mary was instrumental in achieving an amendment to the Family Law Act by the Ontario legislature which eliminated the windfall on death associated with jointly held property in favour of a surviving spouse seeking equalization of Net Family Property. Mary also acts as a Mentor in the Ontario Bar Association’s Mentorship Program, providing guidance and mentoring new lawyers.

Mary volunteers as a supervising lawyer at Pro Bono Student Canada’s Wills Clinic, which provides estate planning legal services to low income clients. The Clinic delivers such services through the efforts of law students from Osgoode Hall Law School and from the University of Toronto Law School, under the supervision of volunteer lawyers. Mary is instrumental in both the training of law students and in supervising students. Mary is also a volunteer lawyer at the Wellspring Pro Bono Wills/Powers of Attorney Clinic which provides estate planning legal services to cancer patients who have little income and assets. Mary is a frequent speaker with the Ontario Bar Association, speaks regularly to community groups, is former Treasurer of the 344th Brownie Pack, and is co-founder of Smart Choices, a women’s information exchange and networking group.

Born in Israel in 1960, Mary relocated to Canada in 1967 with her family.

Larry’s practice encompasses all aspects of commercial real estate with a particular emphasis on acquisitions, dispositions and financing of commercial, industrial and retail premises across Canada and abroad.

Throughout his career, Larry has acted as counsel in many of the largest national and international transactions involving Canadian real property. His clients include pension funds, developers, governmental organizations, lenders, institutional investors, landlords, tenants and other real property advisors.

Larry approaches all matters as a trusted advisor aiming to assist clients in realizing their business and legal goals through creative and proactive solutions.

Larry is the co-chair of Fogler’s Real Estate Group.

Michael is a Partner with Fogler, Rubinoff LLP. His practice areas include commercial real estate acquisitions & dispositions, commercial leasing and real estate financing.  

Scott’s practice focuses on corporate and commercial, gaming, bankruptcy and insolvency, restructuring, regulatory and insurance litigation. 

As a partner in the Litigation Group, Scott has represented numerous financial institutions, corporations and individuals in matters relating to, for example, commercial contract disputes, transportation, securities, debt enforcement, oppression remedy, gaming, debtor and creditor, bankruptcy and insolvency, economic torts, interim and permanent injunctions, insurance, employment litigation involving wrongful dismissal and breach of fiduciary duty matters, broker liability claims, negligence actions and personal injury litigation.  Scott brings a unique experience in the area of insurance litigation and negligence law having represented numerous insurance companies in defending claims brought against them.  He has appeared as trial counsel and argued contested motions and applications before the trial and appellate levels of the Ontario Superior Court of Justice, the Divisional Court, the Court of Appeal of Ontario, and on leave applications to the Supreme Court of Canada.  Scott has also acted as counsel before the Coroner’s Court and several administrative tribunals.

Scott is often retained by large financial institutions, both national and international corporations, casinos and high net worth individuals and families to represent their interests before the courts, administrative tribunals or through the mediation and Alternative Dispute Resolution process.  He acts on behalf of corporations and businesses of all sizes in a broad range of industries and routinely represents industry leaders in a variety of business sectors, such as: The Business Development Bank of Canada, Fibernetics Group of Companies (a CLEC providing VOIP, ISP and long distance services), Stoughton Trailers LLC, Six Nations of the Grand River, Ecovert Corporation, along with brewers, such as Brunswick Bier Works and numerous casinos located in Nevada, Macau and Singapore and gaming operations located in Ontario.

Scott frequently speaks and writes on various topics including trial evidence, debt enforcement and collection, spoliation, the duty to defend under CGL and homeowner insurance policies, broker’s liability, estate litigation issues, social host liability, fiduciary duties, assessment of damages, and director and officer liability.  Scott also acts as a mentor to law students and junior lawyers of the firm.
