Brian R. Gosse



Brian's practice focuses primarily on general corporate and commercial law, having experience in mergers and acquisitions, financings and other transactions for a range of large and small corporate clients. In addition, Brian advises on a variety of corporate matters including organization and restructuring, internal governance, directors' liability, commercial agreements, succession issues, and shareholder and partnership matters. Brian is also actively involved in the entrepreneurial communities of Toronto and Ottawa. He helps entrepreneurs and start-up companies establish and grow their businesses by providing advice on business structuring, fundamental start-up contracts, shareholders' agreements, intellectual property and rounds of financing.

Brian joined the business law group of Fogler, Rubinoff after being admitted to the Ontario Bar in 2006. Prior to that, he maintained a general practice as a member of the Newfoundland and Labrador Bar. In 2014, following a brief hiatus from law during which he co-founded a business operating in the healthcare IT sector, Brian returned to Foglers to continue his business law practice.

Mergers & Acquisition Work

  • Represented the purchaser on the acquisition of a daycare centre;
  • Counsel to the U.S. purchaser of an Ontario private college;
  • Acted as counsel on the restructuring and acquisition of a majority interest in an Ontario home care agency
  • Represented the vendor in the sale of a scaffolding company
  • Represented a U.S. purchaser of assets of an construction business pursuant to receivership
  • Acted as counsel to a purchaser on the acquisition of assets of a dental office

Financing Work

  • Acted as counsel to the purchaser and borrower in connection with the financing and acquisition of an insurance underwriting agency
  • Represented the borrower with respect to a funding by the Ontario Centres of Excellence
  • Acted as counsel to the Canadian parents of several U.S.-based companies in connection with their respective revolving credit facilities
