PROFILE

Adam is a securities law partner with Fogler, Rubinoff LLP in Toronto. His law practice focuses on financings and going public transactions. Adam represents several mid-market public companies and assists companies in listing on the Toronto Stock Exchange and the Toronto Venture Exchange. He also represents brokerage firms and has helped numerous clients with their M&A and cross border transactions. Adam has a particular expertise with the Capital Pool Company program, and often acts as a strategic advisor to his clients.

While Adam primarily advises mining, energy and alternative energy companies, he also represents publicly listed technology companies, food producers and numerous private businesses. Adam has experience in representing clients in Canada and the US as well as South America, China and South Asia.

Adam acts as a director and officer for several public companies and he is Chairman and founder of Foundations Markets Inc., a Toronto based Merchant Bank and Exempt Market Dealer.

Adam has authored numerous papers and articles relating to Canadian and foreign securities and corporate law and is a past editor of "Canadian International Lawyer" as well as the Canadian Bar Association "Globetrotter". Adam joined Fogler, Rubinoff's securities and corporate law groups as a Partner in 2006 after practising securities and corporate law with another major Canadian law firm. Earlier in his career, Adam was the Managing Partner of a prominent Bay Street securities law boutique where he represented public issuers and investment dealers. Adam was called to the Ontario Bar in 1996.

Mineral Exploration and Energy Companies

Adam represents several public and private mineral exploration companies at various stages of development.  Adam has assisted clients with acquisitions and divestitures of exploration properties, and in working with regulatory authorities and local counsel throughout the Americas and Asia.  In particular, Adam has spearheaded the listing and financing of several junior exploration companies both in the role as counsel to issuers and brokerage firms. Adam's clients include gold, silver, copper and base metals exploration and development companies. Adam also represents several public and private oil and gas exploration and development companies in their acquisition, regulatory and financing efforts. 

Assisted a Chinese Food Processor in TSX Venture Exchange

Adam has assisted a Chinese food processer in listing on the TSX Venture Exchange and continues to work with the company with respect to their financing and acquisition strategy.  Adam has assisted several other Chinese companies in pursuing acquisitions and listings in Canada, as well as mineral exploration and development companies in their efforts to secure financing from Chinese sources.

Adam provides ongoing advice and guidance

Adam provides ongoing advice and guidance regarding governance obligations of directors and officers, including managing conflicts.  In this regard, Adam sits on several public company boards of directors and acts as corporate secretary for several clients. 

Cross Border Acquisitions

Adam has structured a number of cross border acquisitions and going public transactions dealing with complex securities and tax law issues. In this regard, Adam has assisted companies in structuring exchangable share transactions to defer taxation while complying with Securities laws.

Worked With Clean Tech and Clean Energy Companies

Adam has worked with clean tech and clean energy companies in their efforts to secure public and private equity financing. In this regard, Adam is a founder and corporate counsel to a geothermal exploration company, acts as legal counsel to hydro, solar and other power developers, and clean tech companies, and is corporate counsel and an advisor to a prominent environmental consulting and advisory firm. 

Establishment of Charities and Foundations

Adam has assisted in the establishment of charities and foundation and currently sits as a director on the Green Living Foundation.

Assisted Gaming Companies in Canada

Adam has assisted gaming companies in Canada, the US and South America in their efforts to make acquisitions, finance and list on Canadian and U.S. Stock Exchanges.

Adam Represents Several Private Telecom

Adam represents several private telecom and telecom technology related companies including a VOIP provider, a cellular tower management technology company, and a mobile technology personnel outsourcing company.
